Onboarding Agreements

The Expertise Exchange (ExEx)

Draft for legal review

Purpose

These terms provide the common onboarding framework for people and organisations registering with ExEx. They sit alongside any role-specific registration form and do not themselves create an employment, consultancy or agency engagement.

Registration

Expertise Partners

An Expertise Partner remains an independent individual or business unless a specific written agreement states otherwise. The Expertise Partner is responsible for professional competence, tax and trading status, insurance where appropriate, and complying with obligations applying to the work undertaken.

Clients and other users

Clients and other users are responsible for describing their requirements accurately, assessing suitability for their needs and complying with the terms of any subsequent engagement.

Verification

Where verification is required, ExEx coordinates or manages the process. Checks may be undertaken by an independent specialist provider. Verification is evidence-based due diligence and is not a guarantee of competence, character or future performance.

Confidentiality and data

Information supplied during onboarding will be handled in accordance with the ExEx Privacy & Data Protection Notice. Confidential or commercially sensitive material must not be used outside the purpose for which it was supplied.

Acceptance and termination

ExEx may decline, suspend or terminate a registration for material inaccuracy, fraud, serious misconduct, non-payment, misuse of the platform or material breach of ExEx terms. Where reasonably possible, the user will be told the reason and given an opportunity to respond.

Other agreements

An actual engagement is governed by the Engagement Agreement and agreed assignment terms. Business-sale activity is governed by the relevant Business Sale documents. Where a specific agreement conflicts with these general onboarding terms, the specific agreement takes precedence for that service.
