About these terms
These terms govern general access to and use of the ExEx website and platform. Specific service agreements take precedence for the service they govern.
The platform
ExEx connects people and organisations seeking expertise, opportunities, assistance, employment, consultancy, mentoring, business opportunities and related services. Unless expressly agreed otherwise, ExEx is not the employer, employee, business partner or professional adviser of users.
Registration and profiles
Users must provide information that is accurate to the best of their knowledge and keep material information reasonably current. Registration does not guarantee an opportunity or transaction.
Verification
Verification may be required but is not a guarantee of competence, character, financial standing or suitability. Clients remain responsible for their selection decisions.
Search and matching
Search results, matches and introductions are aids to identifying potentially relevant people or opportunities and are not guarantees of suitability or outcome.
Engagements and business sales
Formal engagements are governed by the Engagement Agreement and agreed assignment terms. Business-sale services are governed by the Business Sale documentation.
Payments and charges
Applicable fees and commissions will be disclosed before they become payable. ExEx may administer payments through an independent payment-service provider under the Contract & Payment Management terms.
User conduct
- Do not use ExEx unlawfully, fraudulently or to impersonate another person.
- Do not harass, threaten or unlawfully discriminate.
- Do not interfere with platform security or distribute malicious software.
- Do not obtain information for an unauthorised purpose.
- Do not deliberately avoid properly due ExEx fees arising from an ExEx introduction.
Intellectual property
ExEx branding, platform, website design and original material belong to ExEx or its licensors. Users retain ownership of material they submit while permitting ExEx to use it as reasonably necessary to provide the requested service.
Third parties and availability
Independent providers remain responsible for their own services. ExEx will endeavour to maintain reliable platform availability but cannot guarantee uninterrupted or error-free service.
Liability
Nothing excludes liability that cannot lawfully be excluded. Service-specific liability provisions belong in the relevant agreement and require legal review before launch.
Suspension and termination
ExEx may suspend or terminate access for fraud, serious misconduct, material breach, non-payment, misuse or significant risk to users or ExEx, with an explanation and opportunity to respond where reasonably possible.
Complaints, changes and law
Complaints should follow the ExEx Complaints & Dispute Resolution Procedure. Material changes to terms will be communicated where reasonably appropriate. Unless a specific agreement states otherwise, these terms are governed by the laws of England and Wales.
